Article 1 — Scope
These Terms of Service apply to all services provided by Frederic Raimondi, operating under the trade name DevAxes Studio, sole proprietor, SIRET 750 960 197 00028.
Any order implies unreserved acceptance of these Terms of Service.
Article 2 — Services
DevAxes Studio provides custom web development services, including but not limited to: web application design and development, marketing website creation, MVP development, AI automations, and technical consulting.
Services are delivered as fixed-price projects, as described in the accepted quote.
Article 3 — Quotes and Acceptance
A detailed quote is prepared for each project, specifying the nature of the services, deliverables, estimated timeline, and price.
The quote is valid for 30 days from the date of issue. The order is considered accepted upon receipt of the signed quote or written confirmation from the client (including email).
Article 4 — Pricing
Prices are quoted in euros, excluding taxes (HT). Applicable VAT is added at the current rate (VAT number: FR 34 918866716).
The final price is as stated in the accepted quote. No price increase may be applied without prior agreement from the client.
Article 5 — Payment
Payment of 100% is due upon delivery of the project, upon receipt of the invoice.
The payment deadline is 30 days from the invoice date.
Late payment: In the event of late payment, late payment penalties will be applied at a rate of three times the legal interest rate, in accordance with Article L.441-10 of the French Commercial Code. A fixed compensation of 40 euros for recovery costs will also be due (Article D.441-5 of the French Commercial Code).
Article 6 — Delivery
Deliverables are provided according to the timeline defined in the quote. Any foreseeable delay will be communicated to the client as soon as possible.
Delivery is made by providing access to an agreed-upon environment (Git repository, staging server, production environment).
Article 7 — Client Obligations
The client agrees to:
- Provide the content, access, and information necessary for the proper execution of the project within the agreed timeframes.
- Provide feedback within a reasonable timeframe on intermediate deliverables.
- Designate a single point of contact for project follow-up.
Any delay attributable to the client in providing required elements may result in a corresponding shift in the delivery schedule.
Article 8 — Intellectual Property
All intellectual property rights on deliverables are transferred to the client upon full payment of the invoice.
Until full payment, deliverables remain the property of DevAxes Studio.
Open source tools, frameworks, and libraries used in the project remain subject to their respective licenses.
Article 9 — Warranty
DevAxes Studio guarantees the correction of reported bugs within 30 days following delivery, provided that:
- The bug is reproducible.
- It does not result from modifications made by the client or a third party.
- It concerns functionalities described in the quote.
Article 10 — Limitation of Liability
DevAxes Studio's liability is limited to the total amount paid by the client for the project in question.
DevAxes Studio shall not be held liable for indirect damages, including loss of revenue, data, or business opportunities.
Article 11 — Confidentiality
Each party agrees to treat as confidential all information exchanged in connection with the project. This obligation shall remain in effect for 2 years after the end of the project.
Article 12 — Force Majeure
Neither party shall be liable for failure to perform its obligations in the event of force majeure as defined in Article 1218 of the French Civil Code. The affected party shall inform the other party as soon as possible.
Article 13 — Termination
Either party may terminate the contract by written notice (email or registered mail) with 15 days' notice. In the event of termination, services performed up to the date of termination shall be invoiced on a pro rata basis.
Article 14 — Applicable Law and Jurisdiction
These Terms of Service are governed by French law. In the event of a dispute, the parties shall endeavor to find an amicable solution. Failing that, the Commercial Court of Nice shall have exclusive jurisdiction.
